Welcome to RatePort, a service provided by Blue Spectrum LLC.
These Terms of Service govern your access to and use of the RatePort website, mobile application, and related services. By creating an account or using our services, you agree to these Terms.
If you do not agree, please do not use RatePort.
1. About RatePort
RatePort is an AI-native maritime freight pricing and commercial intelligence platform developed by Blue Spectrum LLC. The platform is designed to help cargo owners, charterers, brokers, operators, and other shipping professionals estimate freight costs, compare voyage alternatives, and make more informed commercial decisions. Our services may include:
 Freight indications
 Voyage cost estimates
 AI-assisted recommendations
 Route comparisons
 Commercial analysis
 Additional shipping-related services
 Customer communication tools
 Future booking and post-fixture services
Unless expressly stated otherwise, all pricing and recommendations are indicative only and are provided for budgeting and planning purposes. They do not constitute a binding commercial offer, Charter Party, contract of carriage, or booking confirmation.

2. User Accounts
You may be required to create an account to access certain services. You agree to:
 provide accurate and current information;
 keep your login credentials secure;
 notify us of any unauthorized use of your account; and
 accept responsibility for activity occurring under your account.
We may suspend or terminate accounts that violate these Terms.
3. Using RatePort
You agree not to:
 use the platform for unlawful purposes;
 interfere with or disrupt the platform;
 attempt to gain unauthorized access;
 reverse engineer or copy the platform;
 upload malicious software or harmful code;
 misuse RatePort pricing or services.
4. Indicative Pricing
Unless specifically identified as a Firm Offer, all freight pricing generated by RatePort is indicative only.
Freight indications are based upon information available at the time of calculation and may change due to factors including, but not limited to:
 vessel availability;
 market conditions;
 bunker prices;
 port costs;
 canal costs;
 cargo details;
 voyage assumptions; and
 customer-requested changes.
 Customer vetting and finance approval.
A separate commercial agreement will be required before any transportation services are provided.

5. Plans, Credits and Payments
Certain features require a paid subscription or the purchase of quote credits. Subscriptions automatically renew unless cancelled through the applicable app store or payment provider.

Subscription features, pricing, quote credits, and available plans may change from time to time. Any changes will apply prospectively and will not affect purchases already completed unless required by law. For Apple App Store purchases, the Apple Standard End User License Agreement (EULA) applies in addition to these Terms.
6. Intellectual Property
RatePort, its software, trademarks, graphics, pricing models, content, and related intellectual property remain the exclusive property of Blue Spectrum LLC unless otherwise stated.
You may not copy, distribute, modify, or commercially exploit any part of the platform without our prior written permission.
You retain ownership you are responsible for ensuring you have the necessary rights and permissions to submit any information uploaded to RatePort, including cargo details, voyage information, quotations, and communications. By using RatePort, you grant us permission to use this information solely for providing, improving, securing, and supporting our services in accordance with our Privacy Policy.

8. Availability
We strive to provide a reliable platform but cannot guarantee uninterrupted availability or error-free operation. Features, services, and integrations may be added, modified, suspended, or discontinued without notice. Scheduled maintenance, upgrades, or unforeseen outages may temporarily affect
availability.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Blue Spectrum LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of RatePort or reliance upon any information or pricing generated by the platform.
Users remain responsible for independently verifying all commercial decisions before entering into any transaction.
10. Suspension or Closing Your Account
We may suspend or terminate access to RatePort if:
 these Terms are violated;
 fraudulent or unlawful activity is suspected;
 required by law; or
 necessary to protect the platform, our users, or third parties.
 non-payment of applicable fees or subscriptions.
Users may discontinue use of the platform at any time. RatePort may suspend individual features or services where reasonably necessary to protect users, maintain security, comply with legal obligations, or improve the platform.

11. Changes to These Terms
We may update these Terms periodically. The latest version will always be available on our website and will include the effective
date. Continued use of RatePort after changes become effective constitutes acceptance of the updated Terms.

12. Governing Law
These Terms are governed by the laws of the State of Florida, USA, unless otherwise required by applicable law.
Nothing in these Terms replaces or modifies the terms of any subsequently executed Charter Party, Bill of Lading, transportation agreement, or other commercial contractcbetween the parties. Nothing in these Terms limits any consumer rights that cannot legally be excluded under applicable law.

14 – Additional Services
Any services such as brokerage, insurance, trade finance, vessel chartering, and logistics may be governed by separate commercial agreements or supplemental terms.

If you download RatePort through Apple&#39;s App Store, your use of the application is also subject to Apple&#39;s Standard End User License Agreement (EULA):
